1.1

To incorporate Uniq Ltd, Mandla and Suzan must first decide whether they want to reserve
the company name or use the registration number as the interim name. Name reservation is
optional and is done through the CIPC. Thereafter, the Memorandum of Incorporation must
be prepared and completed in the prescribed form. The MOI sets out the rights, duties and
responsibilities of shareholders and directors.1

The Notice of Incorporation must then be completed and lodged with the Companies and
Intellectual Property Commission together with the MOI. Lodging means delivering these
documents to the CIPC and paying the prescribed registration fee. By lodging the
documents, the incorporators formally inform the CIPC that they wish to register the
company.
