, 1.1. Mandla and Suzan want to incorporate a company called Uniq Ltd. Briefly
explain the

steps that would need to be taken in order to incorporate the company.

1.1 Steps to Incorporate Uniq Ltd

Incorporation of a company in South Africa is governed by the Companies Act 71 of
2008 and is administered by the Companies and Intellectual Property Commission
(CIPC). For Mandla and Suzan to incorporate Uniq Ltd, they would need to follow the
steps set out below.

Step 1: Decide on the Type of Company

Mandla and Suzan must first decide on the type of company they wish to incorporate.
Since the proposed name is Uniq Ltd, this indicates a private company. A private
company must include the expression “(Pty) Ltd” or “Ltd” in its name and is
characterised by restricted share transfers and a prohibition on offering shares to the
public.

This decision is important because it determines the company’s legal characteristics,
governance structure, and compliance requirements under the Act.

Step 2: Reservation of the Company Name

The next step is to reserve the proposed company name with the CIPC. Mandla and
Suzan must submit a name reservation application, proposing one or more names in
order of preference.

The CIPC will assess whether the name is:

 Not the same as or confusingly similar to an existing company name or
trademark; and
 Not misleading or prohibited by the Companies Act.
