As you know, we act for Giles Standish in relation to a proposed agency agreement with
Seramica Limited. Seramica’s solicitors have sent some Heads of Terms, although from a
quick look it seems that they are not entirely in line with what we agreed at the negotiation
meeting.
1. Please could you review the draft Heads of Terms and advise:
(a) whether the Commercial Agents (Council Directive) Regulations 1993 will apply;
and
(b) whether there any problems or omissions in the draft.
2. Please take a look at the attached checklist and identify what items we have dealt
with already, whether in our discussions or in the Heads of Terms.
