DATA CONTRIBUTOR AGREEMENT
This Data Contributor Agreement (“Agreement”) is entered into between:

Scaler AI Labs Inc., a corporation incorporated in the State of Delaware, with its registered office at 16192 Coastal
Highway, Lewes, County of Sussex, Delaware 19958 (hereinafter referred to as “SAIL” or “Company”, which term
shall include its successors, and permitted assigns);
and
You, the individual who has created an account on the peaktalent.ai platform (together with any successor or replacement
platform operated by SAIL, the “Platform”) and who is accepting this Agreement (“Contributor”), acting in his/her
individual capacity and not on behalf of any entity.
The “Effective Date” is the date on which the Contributor signs this Agreement or otherwise accepts it electronically.
SAIL and the Contributor shall be collectively referred to as the “Parties” and individually as a “Party.”

This Agreement incorporates by reference the SAIL Terms of Service and Privacy Policy, each as made available to the
Contributor through the Platform and as updated from time to time. The Contributor agrees to be bound by them. In the
event of any conflict, this Agreement shall prevail.

RECITALS
A. SAIL operates the Platform, to which the Contributor has signed up.
B. SAIL wishes to acquire and use certain data and related materials from the Contributor for the purpose of AI model
training, validation, tuning, evaluation, benchmarking, safety testing, research, technical validation, product and
systems improvement, and related artificial-intelligence or machine-learning development (the “Permitted
Purpose”).
C. The Contributor will voluntarily provide data and related materials from the Contributor’s own accounts and files to
SAIL, including in raw and identifiable form where applicable, and authorises SAIL to process such materials to
create de-identified or redacted datasets for the Permitted Purpose and for a one-time fee, subject to the terms of this
Agreement, including the Consent & Data Contribution Authorization attached as Annexure A (“Consent Form”).
NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Parties agree as
follows:

1. Definitions

“Contributor Data” means, collectively, Raw Contributor Data and Processed Contributor Data and includes the data
and/or related materials provided by the Contributor under this Agreement which, depending on the application(s),
service(s) or task(s) the Contributor participates in, includes application usage information, applications used, usage
attributes, application identifiers, timestamps, frequency or duration of use, coverage period, device/application-level
metadata, account or user identifiers used by the relevant application, logs and related contextual records made available
by the Contributor or generated through the Contributor’s use of the relevant application(s) or service(s), together with
(a) data exported or downloaded by the Contributor from the Contributor’s own accounts with financial or related
applications and services of any kind (including banking, credit, payment, wallet, lending, tax, payroll, investment,
brokerage, retirement, insurance, credit-scoring, identity, budgeting, and crypto or digital-asset applications and
services); and (b) financial artifacts created by the Contributor, such as budget spreadsheets, tax workbooks, or net-
worth or debt trackers.

, “Raw Contributor Data” means Contributor Data as originally uploaded or otherwise transmitted to SAIL before SAIL
completes the processing described in Clause 4, and may include personal information and sensitive personal
information contained in the Contributor’s legitimate financial or related exports and artifacts.
“Processed Contributor Data” means Contributor Data after SAIL has applied its redaction, de-identification,
pseudonymisation and/or other sanitisation processes and quality checks under Clause 4, with direct personal and
financial identifiers removed or transformed in accordance with SAIL’s applicable processing standards.
“Prohibited Credentials” means passwords, personal identification numbers (PINs), one-time passwords, multi-factor
authentication or recovery codes, card verification values or security codes, private cryptographic keys, authentication
tokens, API keys, or other credentials capable of providing live access to an account or service.
“Accepted Deliverables” means Processed Contributor Data that has been reviewed and accepted by SAIL in writing
(including through the Platform). Raw Contributor Data does not constitute an Accepted Deliverable. Only Accepted
Deliverables shall be payable.
“Confidential Information” means any technical or non-technical information that the disclosing Party makes available
to the receiving Party. It includes intellectual property and trade secrets, software, source code, APIs, designs, know-
how, processes, algorithms, research and development, financial, procurement, customer, investor and employee
information, business plans and forecasts, information about third parties, and any other information the receiving Party
knew or should reasonably have known was confidential. It applies whether or not the information is marked
confidential, whether disclosed before or after the Effective Date, and in any form.
“Outputs” means aggregated results, statistical learnings, analyses, model weights/parameters, evaluations, and other
outputs generated from the Permitted Purpose that do not identify any individual.
“Applicable Law” means any statute, law, regulation, ordinance, rule, judgment, order, or decree applicable to the
Parties or the subject matter of this Agreement, including applicable US federal and state data protection and privacy
laws.

2. Deliverables and Acceptance

2.1 The Contributor shall provide Raw Contributor Data to SAIL through the Platform or another secure transfer method
specified by SAIL, following SAIL’s instructions, formats and quality requirements. The Contributor shall comply with
the restrictions in Clause 4, including the prohibition on intentionally submitting Prohibited Credentials.
2.2 SAIL may process, review and/or sample Raw Contributor Data in accordance with Clause 4 to create Processed
Contributor Data and determine whether the applicable quality, compliance and format requirements have been met.
Only Processed Contributor Data accepted by SAIL in writing (including through the Platform or email) shall constitute
Accepted Deliverables.

3. Compensation; Invoicing; Taxes

3.1 The Contributor shall be compensated for Accepted Deliverables either (a) directly by SAIL, or (b) by the third-
party vendor through which the Contributor participates in the relevant task (the “Vendor”). The applicable payment
route for a given contribution shall be identified in the Platform. The Contributor’s grant of rights in the Contributor
Data to SAIL shall apply regardless of which party pays.
3.2 Where SAIL pays directly, SAIL shall pay the Contributor a one-time fee in respect of Accepted Deliverables
(“Fee”), subject to the Contributor meeting a minimum submission threshold in Clause 3.5. The amount of the Fee, the
currency of payment, the period within which payment will be made, and the available payment methods (which may
include bank transfer, PayPal, Wise or another method agreed by the Parties) are as set out on the Platform. Any
payment-related information or instructions (including tax-related information applicable to payments) made available
to the Contributor on the Platform in relation to the submission of Contributor Data form part of and are incorporated
into this Agreement by reference.
