1.1 Mandla and Suzan want to incorporate a company called Uniq Ltd. Briefly explain the
steps that would need to be taken in order to incorporate the company.
In terms of the Companies Act 71 of 2008, Mandla and Suzan must first decide on the type of
company to be incorporated, in this case a profit company (Uniq Ltd).
Under the Companies Act, a suitable company name must be chosen, which must comply
with the statutory requirements and not be misleading, confusingly similar, or prohibited.
In terms of section 13 of the Companies Act, a Notice of Incorporation (CoR 14.1) must be
completed, indicating details such as the company name, type of company and registered
address.
Under section 15 of the Companies Act, a Memorandum of Incorporation (MOI) must be
drafted and signed by the incorporators, setting out the rights, duties and responsibilities of
shareholders and directors.
In terms of section 13(3), the Notice of Incorporation together with the MOI must be lodged
with the Companies and Intellectual Property Commission (CIPC).
Upon payment of the prescribed registration fee and acceptance by the Commission, the
company is registered, a registration certificate is issued, and Uniq Ltd acquires juristic
personality from the date on the certificate.
