A quorum is the minimum number of qualified persons whose presence at a meeting
is necessary before any business may be validly transacted at the meeting. 1 The Act
specifies two quorum requirements: one must be satisfied in order for a shareholders’
meeting to commence and the other for a matter at the meeting to be considered. 2
