The appointment and composition of the social and ethics committee are typically governed by
the relevant legislation and regulations in each jurisdiction. In many countries, such as South
Africa, the appointment and composition of the social and ethics committee are outlined in the
Companies Act.




According to the South African Companies Act, a public company or a state-owned company is

required to establish a social and ethics committee. The committee is appointed by the board of
directors and consists of a minimum of three directors or prescribed officers of the company. At
least one of the members must be a non-executive director, and the majority of the members

must be independent non-executive directors.
