Outline of the course
This course now amalgamates two subjects: Company law and
the Law of Investments and Financial markets, hence the new
title of Company and Finance Law .
The course introduces you to the key elements of corporate and
finance law in Australia, that you need to be aware of as
accountants. The course will cover the key aspects of formation,
running and winding up a company. To understand the impacts
of corporate law you need to understand the basics of
commercial law. In this course it is assumed that you have
studied commercial law as principles from that subject will not
be covered in this course.

• There are two key parts to this subject:
• Corporate law:
• This involves the topics of :
– What is a company
– The purpose of a company
– The creation of a company
– The legal consequences
– The running of a company
– The obligations and rights of the key players in a company
– What happens when a company fails?
• Finance law:
– The obligations of a company when it wishes to raise funds from the public
– The obligations of financial advisers in providing financial advice to
consumers
• As this course is a combination of two subjects we can not cover all the
elements of company and finance law during the semester.
