QUESTION 1
Zipper (Pty) Ltd – Appointment of a Company Secretary
In terms of the Companies Act 71 of 2008, only public
companies and state-owned companies are legally required to
appoint a company secretary. A private company such as
Zipper (Pty) Ltd is not required by law to appoint one, unless
its Memorandum of Incorporation (MOI) specifically makes it
mandatory. Therefore, unless Zipper’s MOI states otherwise,
the appointment of a company secretary is optional.
Three key duties of a company secretary:
1. Compliance oversight – Ensuring the company complies
with the Companies Act, MOI, and other applicable laws.
2. Board support – Providing administrative support to the
board, including preparing meeting agendas, taking
minutes, and maintaining statutory records.
