‘Entrepreneurial decisions and legal issues in early venture stages: Advice
that shouldn’t be ignored’,
This scenario is all too common. Entrepreneurs in the early stages of their
businesses make multiple business decisions daily. Such as the choice of
business entity, contracts, founders’ agreements, intellectual property, and
selection of advisors. Some believe the key to being a successful entrepreneur
lies in making fewer mistakes than the competition.
Cost is a concrete factor that is simple to understand and measure.
3. Three immediate legal issues impacted by short-term decisions
3.1 1. Business entity formation
Entrepreneurs can form their businesses as one of several legal entities. Selection of
the most appropriate business entity (bedrijfseenheid) for a particular venture is an

, important and complex decision. Unfortunately, many entrepreneurs do not plan
ahead
3.2. 2. Founders’ agreements and other contracts
Contracts utilized early in the start-up process–— including founders’ agreements,
non-compete agreements, and clauses about essential employees–—are significant
regarding future activities of the venture.
3.3. 3. Intellectual property
Entrepreneurs utilize their creativity to identify opportunities that are not being met
in the marketplace, and then fill them. To protect their ideas, entrepreneurs should
seek to guard intellectual property (IP) rights from the competition; this may be
achieved by controlling how intellectual property is used, distributed, and accessed.
Protecting IP allows creators to benefit from their work, as opposed to others
benefiting from it. It promotes creativity by allowing creators exclusive rights to their
works that others cannot use without permission. Intellectual property rights are
legal frameworks that are established from country to country, to protect the ideas
of individuals. IP includes two main categories: registered (e.g., trademarks, patents,
copyrights) and unregistered (e.g., trade secret) rights.
4.1. Under-reliance on professionals
While a team-based approach is important, lawyers, accountants, consultants, and
other professional advisors are not utilized as well as they could be by entrepreneurs;
this is especially true regarding complex issues with long-term legal ramifications.
We believe that entrepreneurs often choose not to see a professional–—or, by
default, ignore the option altogether–—because of the associated fees.
4.2. Over-reliance on one advisor
An entrepreneur who seeks the advice of an attorney, accountant, or other
professional might make better long-term decisions, even if the legal advice is
minimal. However, entrepreneurs may still focus on the advice they receive and not
fully understand from a strategic perspective all the advantages and disadvantages
of the different forms of business.
5. What should entrepreneurs do?
We believe a good defense is a good education. As a first step, entrepreneurs should
seek to understand these legal issues, which is why we have discussed them in
detail. Entrepreneurs should have a basic understanding of these legal issues that
will provide them with a foundation for initial decision-making. Finding professionals
to assist them with these early decisions can save time and future costs.
