assets of the business would be seized if debt owed by the business cannot be paid in full.
Business Liability
Generally, it is general partnerships or single shareholders who have unlimited liability for the
business or partnership's debts. The partners are personally liable for the firm's liabilities in general
partnerships, with equal shares. On the other hand, a sole trader business is owned by one person
who assumes personal responsibility for all debts or obligations originating from his business affairs.
Consequently, a sole proprietor has unlimited liability. In This case it would be 5-star barbers.
Some general partnership firms may arrange their partnership agreements to allow partners to
retain debt liability only to the extent of the firm's capital accounts. The partnership agreement
enables partners to accept responsibility for the debts only to the extent of the amount of their
capital accounts, rather than allowing the partner to have total legal liability for all the debts and
liabilities of the company. Accordingly, liability is allocated by a fixed percentage of the capital
account of each partner, which is also the partnership's equity. This is briefly known as limited
liability. In this case, the NHS has limited liability.
