This Revision Aid has been produced to assist you with preparation for your
examination.
A frequent question asked is – what topics should I revise? We are sure that you will
appreciate that we cannot assist you with this. Remember you can be examined on
any of the topics studied on this course. Furthermore, you must be able to answer a
minimum of one question from Part A of the paper and one question from Part B of the
paper.
Part A of the paper will examine you on matters dealt with in the first term of Company
Law (from Business Organisations to Directors II). Broadly speaking Part A of the
module is split into three core aspects: Corporate Personality and Lifting the Veil;
Rights of Shareholders; and Directors. Of course, when considering whether a
shareholder has the right to bring a derivative claim, part of that consideration might be
to identify whether a director has breached his duty to the company.
Part B of the paper will examine you on matters dealt with in the second term of
Company Law (from Introduction to Corporate Finance to Corporate Governance).
Broadly speaking Part B of the module is split into three core aspects: Corporate
Finance (including debt and equity); Corporate Insolvency; and Corporate Governance.
Refer to the practice mock papers and the specimen exam paper for guidance on how
Topics can be examined. These documents are available on the VLE in the
‘assessment & feedback’ and ‘revision’ folders. In addition, the Revision Workshops
often consider sample questions.
Another common question is - how do I revise? It certainly seems quite inadequate to
say ‘it’s a matter for you’, however there are so many ways to study and it really is true
