SHORT ANSWER (10 points each)
1. List 4 examples of business transactions with clients that lawyers are prohibited from
entering into without proper client consent. Clearly list 4 examples. If your responses are not

Business transactions with clients that lawyers are prohibited from entering into without
proper client consent are: purchasing real estate from a client while also drafting the documents
relating to the sale: borrowing money from a client and advising the client how to perfect the
client’s security interest; going into business with a client or forming the corporation for the
business that gives the lawyer an ownership interest while continuing to represent the
corporation; and advising clients to make investments in businesses in which the lawyer has an
interest.
2. What is a screen?
A screen isolates a disqualified person by setting up procedures to prevent the affected
person from any involvement with or communication about the matter.
3. Why are conflicts problems so common?
Conflicts problems are so common due to the dynamic environment. With the growth in
size of law firms, development of branch offices, merger of firms, increase in lawyers moving
from firm to firm, and legal specialization have increased the potential for conflicts.
4. Is it ethical for a lawyer to represent the passenger and driver in a lawsuit against another
driver? What problems might arise?
No, it is not ethical for the lawyer to represent both as the potential clients have adverse
interests. The lawyer may not be able to provide competent and diligent representation for both
