Question 1: Zelda’s query regarding shareholders’ participation in the AGM
The Companies Act 71 of 2008 allows shareholders to participate in an AGM without
physically attending the meeting. Section 63(2) of the Act makes provision for electronic
participation in shareholders' meetings, provided the company’s memorandum of
incorporation (MOI) allows for this. This means that TMT Ltd can make arrangements
for shareholders and their proxies to participate via electronic means, such as video
conferencing or other real-time communication platforms.
For electronic participation, the company must ensure that such a method is accessible
and enables shareholders to both hear and participate in the discussions and vote on
resolutions. However, the company can charge shareholders for any costs reasonably
incurred to facilitate electronic participation.
Zelda and the board should review TMT Ltd’s MOI to confirm whether electronic
participation is allowed. If it is, the company must notify shareholders in advance about
the arrangements, including the platform to be used and any costs involved. This
ensures that those who cannot attend in person still exercise their rights at the AGM.
