Definition of a Partnership

According to South African law, a partnership is a legal relationship that exists between
two or more persons who agree to carry on a business in common with the aim of
making a profit. The relationship is based on consent, and each partner must make a
contribution, which can be money, goods, or services. The intention to share profits
and losses is essential.

Assessment of the Proposed Contributions

Let’s assess whether each person’s proposed contribution supports a valid partnership:

1. Sello's Contribution – Conditional Monetary Contribution (R25,000.00)
Sello wants to contribute money, which is a valid contribution in a partnership.
However, his condition that he must be reimbursed if the partnership fails is
problematic.
This shows that Sello does not intend to take on the business risk, meaning
he doesn’t accept potential loss. Since one of the core elements of a partnership
