🔍 Key Concepts Explained
1. Business Rescue (Companies Act 71 of 2008 – Section 131)
 Business rescue is a legal process designed to facilitate the
rehabilitation of a financially distressed company.

,  Under section 131(1), any affected person can apply to
court for an order to begin business rescue proceedings.
 The applicant must show a “reasonable prospect” of the
company being rescued.
2. “Reasonable Prospect” – Legal Interpretation
 Courts require more than a mere possibility. It must be
realistic and supported by evidence, not speculative.
 Important cases:
o Southern Palace Investments 265 (Pty) Ltd v
Midnight Storm Investments 386 Ltd (2012):
Established the need for factual foundations.
o Oakdene Square Properties (Pty) Ltd v Farm
Bothasfontein (Kyalami) (Pty) Ltd (2013): Explained
that business rescue must show a reasonable chance
of success, not necessarily a guarantee.
3. Commercial Insolvency vs Factual Insolvency
 Factual insolvency: Liabilities exceed assets.
 Commercial insolvency: The company cannot pay its
debts when due, even if assets exceed liabilities.
 Important for deciding winding-up (Companies Act 61 of
1973 still applies to liquidation proceedings).
