DEFINITION OF TERMS
“Agreement” A legally binding agreement between two parties.

“Allowance” An allowance is an amount of money granted by an employer to an employee to incur
business-related expenditure on behalf of the employer, without an obligation on the employee to prove
or account for the business-related expenditure to the employer. The amount of the allowance is based
on the anticipated business-related expenditure.

“Client” A buyer of a professional service

“Reimbursement” A reimbursement of business-related expenditure occurs when an employee has
incurred and paid for business-related expenses on behalf of an employer without having had the
benefit of an allowance or an advance, and is subsequently reimbursed for the exact expenditure by
the employer after having proved and accounted for the expenditure to the employer.
“Service Provider” is an individual or entity that provides services to another party. The relationship is
typically governed by a service agreement.

“the Act” means the Income Tax Act 58 of 196

, 1. BACKGROUND

1.1. The Client is of the Opinion that the Service Provider has the necessary qualifications, experience and
abilities to provide services to the Client.

1.2.The service Provider is agreeable to providing such services to the Client on the terms and conditions
set out in this agreement

NOW, THEREFORE, in consideration of the premises and the mutual agreements set forth herein and for
other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the

2.1 The Client hereby agrees to engage the Provider to provide the Client with the following services

3. NATURE OF SERVICES
3.1 The provider agrees to provide the Client with the above disclosed service and ; The Services may
also include other tasks which the Parties have agreed to. The provider hereby agrees to provide such
Services to the Client.

3.2 The Client and The provider understand and accept that the provider is acting as an independent
financial service provider and is not an employee with regard to the provision of the Services. No
partnership or joint ventures will be entered into once the provider has met their obligations between the
two parties.

4. TERM OF AGREEMENT
4.1 Effective date : [Spell out full date (e.g 2 January, 2009)] ___________________________, until the
completion of services provided and payment thereafter from the Client. Except for proven breach of
contract, this agreement may not be terminated by either party except that the Provider may immediately
terminate this Agreement upon the incapacity of the service provider or the death of the service provider.

4.2 This agreement may only be modified or terminated under the jurisdiction of the Provider or terminated
on the provisions disclosed above.

4.3 In the event that a law or regulation is passed, the operation or implementation of which would result in
non-execution of the obligation of any of the parties of this Contract, shall automatically result in the
termination upon the date of the occurrence.
