Jack’s first offer to Peter was a valid offer because it identified the parties, the
painting and the price, which were the material terms in the facts. A contract is
formed when parties agree on all material terms, usually through offer and
acceptance.1 An offer is a declaration by the offeror showing the performance he is
prepared to make and the terms on which he will make it.1 Here, Jack’s offer was
addressed to Peter only. Peter did not accept it. Instead, Peter and Themba later
proposed that they should buy the painting together and pay R300 000 each.
