,ABSTRACT
The fiduciary duties of company directors in South Africa have traditionally been
understood as being owed exclusively to the company and its shareholders. However,
the question of whether directors owe duties to creditors, particularly when a company
approaches insolvency, has become increasingly contentious. This research report
critically examines the evolving nature of directors' fiduciary duties towards creditors
under South African company law. It analyses the historical development of the
shareholder primacy principle, the statutory framework established by the Companies
Act 71 of 2008, and the common law position as articulated in key judicial decisions,
particularly Venator Africa (Pty) Ltd v Watts and Ozinsky NO v Lloyd. The report
evaluates the extent to which directors may be required to consider creditor interests
while conducting the affairs of a company, particularly during the zone of insolvency. It
concludes that while South African law does not impose direct fiduciary duties on
directors towards creditors, the law increasingly recognises the legitimate interests of
creditors through statutory mechanisms and common law principles, requiring directors
to balance shareholder and creditor interests during periods of financial distress.
